Synopsis
Modern approaches to corporate governance are studied, which allowed to clarify its definition. A study of foreign and domestic experience in assessing corporate governance in joint stock companies has revealed that existing methods usually do not cover qualitative indicators. And this in conditions of economic uncertainty has a negative impact on the development of the company. The proposed author's methodology involves the assessment of corporate governance using both qualitative and quantitative indicators. Qualitative indicators allow us to assess the following: the procedure for convening and holding the General Meeting of Shareholders; the procedure for issuing shares of the company; the work of the Supervisory Board of the company; organization of work of the executive body of the company; disclosure of information and its transparency; control over the financial and economic activities of the company. On the basis of quantitative indicators are estimated: return on capital; return on equity; payback period of equity; coefficient of financial independence; financial stability ratio; earnings per share; dividend per share; dividend yield. The proposed tools will help to more accurately assess the state of corporate governance in joint stock companies in conditions of economic uncertainty, which will highlight the influential factors and improve the development strategy of corporations.
